Between the two you should be able to figure it out. DIY PCs are much simpler these days.

Notes:
-The motherboard has an integrated video card (HD 3200), that you will need to disable in the BIOS to have the stand alone video card work correctly.
-The reason why I played with the price so near your max budget is because it leaves a lot of room for upgrades in the future, the motherboard can handle Phenom CPU's, and it can use up to 16gb 1066 RAM.
-The motherboard will accept 1066mhz RAM if you're using a Phenom (AM2+ socket) CPU, at the moment for the budget you are using a AM2 CPU and 800mhz RAM.
-Vista 64 is there because to use more than 3gigs of RAM you need a 64 bit operating system, and XP 64 is recognized as a "business" OS and some games and free programs don't work on it (AVG, Messenger, etc).
-The reason I went AMD is because the AM2+ boards are cheap with big RAM capability (sadly most of them have integrated video), while all the Intel 775 (current high end CPU) that are cheap and good only accept 4gig RAM as max, all the others are in the hundreds.

And as I said, I'm sure other will trow different templates, and knowing Pwn he'll trow a cheaper and better one
