Help me decide between the 2 laptops (both about 2k)!!! dotn know if i want the asus with the good DDR2 and intel dual core Or the AMD dual core with DDR 3200 !!

are you sure that AMD CPU is dual core (Turon 64 x2)? If so, #2 for sure.
Also, DDR2 vs DDR at this stage should dfenitly not even be a factor in deciding when buying hardware. At this very moment they are preatty much even, and they have been since DDR2 has been introduced. All in all, you are preatty safe to go with DDR.
